General Terms and Conditions of Sale

1. Purpose
These General Terms and Conditions of Sale (GTC) define the terms and conditions for the delivery and sale of services offered by EoKin to individuals, entrepreneurs, executives, teams, and organisations.
Services may include in particular:
- Individual sessions
- Coaching programmes
- Executive sparring
- Strategic interventions
- Workshops
- Conferences
- Training
- Facilitation and collective intelligence
- Specific tailored accompaniments
Any order or booking implies full and unconditional acceptance of these GTC.
2. About EoKin
EoKin supports individuals, teams, and organisations in regaining clarity and aligning their decisions with what truly matters, in service of their projects and responsibilities.
EoKin's interventions are grounded in a mindset built on Boldness, Simplicity, and Enthusiasm.
The services offered fall within the scope of consulting, professional coaching, facilitation, collective intelligence, and strategic development.
They do not constitute medical, psychological, psychotherapeutic, or psychiatric support in any way.
3. Ordering and Contracting
Booking a service, signing a quote, or settling an invoice constitutes acceptance of these GTC.
Any service may be the subject of a specific commercial proposal or quote detailing the particular terms of delivery.
4. Pricing
Prices are expressed in euros excluding VAT (ex-VAT). The applicable VAT rate is that in force on the date of invoicing.
Prices displayed on the website or mentioned in quotes are subject to change without notice but remain guaranteed once an order has been confirmed.
5. Payment Terms
Payments are made exclusively:
- By bank transfer
- By PayPal
Unless otherwise specified in a quote or agreement:
- Individual sessions are paid before they take place.
- Coaching programmes are paid 50 % upon booking and 50 % before the final session.
- Instalment payment arrangements may be granted on an exceptional basis by mutual agreement.
- Executive sparring services and corporate interventions are subject to specific invoicing.
Any late payment may result in the application of penalties provided for by current legislation.
6. Individual Sessions
The standard duration of an individual session is 1h30. The reference rate is 350 € ex-VAT, unless otherwise stated. Any booked session must be paid before it takes place.
7. Coaching Programmes
The reference rate for a coaching programme is 1 500 € ex-VAT. Programmes are valid for a period of six months from their start date.
An exceptional extension may be granted depending on the client's situation and EoKin's assessment.
In the event of early termination by the client, any applicable refund terms will be considered on a case-by-case basis.
8. Executive Sparring
Executive Sparring accompaniments are offered from 3 000 € ex-VAT per month, unless specific conditions have been agreed between the parties. The minimum commitment period is three months.
Any request for early termination must be submitted in writing with a minimum notice of thirty days. The month following notification of termination remains due in full.
9. Rescheduling, Cancellations, and Absences
Individual Sessions and Programmes
Any rescheduling request made at least 72 hours before the appointment is accepted at no charge. In the event of cancellation or rescheduling with less than 72 hours' notice, 50 % of the session fee is due.
Exceptions may be granted in cases of serious circumstances duly justified, including:
- Hospitalisation
- Serious illness
- Death of a loved one
- Exceptional event beyond the client's control
Corporate Interventions
Rescheduling or cancellation terms for corporate interventions may be specified in the relevant quotes or agreements.
10. Punctuality
Both parties commit to respecting the agreed schedule. In the event of a client being late, the session may be maintained within the remaining available time. EoKin favours a flexible and considerate approach while emphasising the importance of honouring mutual commitments.
11. Video Conferencing and Technical Issues
Services may be delivered remotely. In the event of a temporary technical issue, both parties will seek the most appropriate solution together (phone, exceptional rescheduling, or other arrangement). Each situation will be assessed on a case-by-case basis.
12. Travel Expenses
Travel expenses may be charged for interventions taking place outside the Bas-Rhin department. These costs will be communicated in advance or noted specifically in the relevant quote.
13. Mutual Commitment
The accompaniments offered by EoKin are based on a voluntary, responsible, and engaged approach. The client remains fully responsible for their own decisions, actions, choices, and outcomes.
EoKin commits to applying all of its skills, experience, and reasonably available means to support the client in their reflections and endeavours.
Both parties acknowledge that the services offered are subject to a best-efforts obligation and not an obligation of result. The quality of the accompaniment also depends on the commitment, availability, involvement, and sincerity of the exchanges between the parties.
14. Mutual Respect and Early Termination of an Accompaniment
EoKin reserves the right to suspend or terminate an accompaniment when it considers that the minimum conditions of engagement, mutual respect, or relational safety are no longer met. In such a situation, the financial terms will be reviewed equitably between the parties.
15. Confidentiality
All exchanges within the scope of the services are strictly confidential. No information concerning a client will be shared with any third party without their prior consent, except where required by law.
16. Client References and Testimonials
Unless the professional client expressly objects in writing, EoKin may mention their name, company name, or logo as a commercial reference. Written or video testimonials may only be used with the explicit consent of the client concerned.
17. Intellectual Property
All methods, tools, materials, documents, exercises, content, and resources shared in the context of the services remain the exclusive property of EoKin. Any reproduction, distribution, or use without prior authorisation is prohibited.
18. Liability
EoKin cannot be held liable for decisions made by the client following the accompaniments provided. EoKin's liability is limited to the amount actually paid for the service in question.
19. Force Majeure
Neither party may be held liable for a delay or failure to perform resulting from a force majeure event within the meaning of French law.
20. Consumer Mediation
In accordance with the provisions of the French Consumer Code, any individual client has the right to use a consumer mediator free of charge. The contact details of the relevant mediator will be provided once designated.
21. Applicable Law
These General Terms and Conditions of Sale are governed by French law. Any dispute relating to their interpretation or performance falls within the jurisdiction of the French courts.
